TERMS OF USE

(For health screening services)

Welcome to the InHouse Physicians health screening website.  InHouse Physicians provides a health screening offering measurement of common clinical tests, evaluation of specific health risks, and health coaching. (Collectively the “InHouse Physicians Services”).    The InHouse Physicians Services are offered to you under, and you agree to be bound by, the terms and conditions of this Terms of Use.

1.  Agreement to Conduct Transactions Electronically; Copies.  You agree that some of your transactions with or through the Site may, at our option, be conducted electronically, and that any oral conversations may be recorded. Non-electronic services will still be governed by the remainder of these Terms unless you enter into different terms on a form provided by us. You agree to print or make an electronic copy of the Terms and any other contract or disclosure that we are required to provide to you; you may also make copies of your consents, releases, and what you submit through the Site.

2.  Use of Services. 

NOT FOR EMERGENCIES.  The InHouse Physicians Services are not for use for medical emergencies or urgent situations.  IF YOU THINK YOU MAY HAVE A MEDICAL EMERGENCY, CALL YOUR DOCTOR OR 911 IMMEDIATELY.

Cost.   InHouse Physicians does not charge you for your use of the InHouse Physicians Services.

Consult With Your Personal Physician.  Any health consultations provided via this service should not be utilized without first consulting with your primary care physician.

Educational Resources.  InHouse Physicians educational materials and health information included in this service are not comprehensive medical text and do not include all the potential information regarding the subject matter. These communications and resources are for general educational and informational purposes only, and should not be relied upon as a substitute for patient-specific medical diagnosis and treatment through a healthcare consultation by your personal physician. Such information is not a substitute for seeing an appropriate healthcare professional for medical treatment.  The information contained in these communications and resources is compiled from a variety of sources and should not be considered authored by InHouse Physicians. InHouse Physicians makes no warranty as to the content of these materials or the information contained therein. 

Legal Right to Enter Into An Agreement.   You represent and warrant that you are at least eighteen years of age and that you possess the legal right and ability to enter into this Terms of Use, register on the InHouse Physicians Services under your own name.

Special Agreements; Signatures. If you are required to use your employee I.D. number for identification verification, you agree that (a) you will protect your Employee I.D. number and prohibit access by unauthorized users; (b) the email address that you provide will be used for all communications regarding this Site and your Transactions and other activities on this Site; and (c) typing your Employee I.D. number or email address and clicking a button labeled “I agree”, “I Agree to Register”, “Confirm”, “Submit” constitutes your signature and represents your intent to sign and be legally bound by the terms of the specific Transaction pursuant to the Agreement to Conduct Transactions Electronically, which is incorporated herein by this reference.

Intellectual Property.  InHouse Physicians hereby grants you a limited, revocable, non-transferable and non-exclusive license limited solely to viewing or downloading a single copy of the material on the InHouse Physicians web site and to use the InHouse Physicians software to the extent necessary to use the InHouse Physicians Services solely for your personal, noncommercial use.  With the exception of your personal health information and contact information, InHouse Physicians retains all right, title and interest in and to InHouse Physicians, the InHouse Physicians Services and any content, products, documentation, software or other materials on the InHouse Physicians web site, and any patent, copyright, trade secret, trademark, service mark or other intellectual property or proprietary right in any of the foregoing. The information available through the InHouse Physicians Services is the property of InHouse Physicians or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.  You agree not to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast, or circulate the information owned by InHouse Physicians or its licensors received through the InHouse Physicians Services to anyone, including but not limited to others in your organization. Any copy made of information obtained through the InHouse Physicians site must include the copyright notice. Use, reproduction, copying, or redistribution of InHouse Physicians’ logos is strictly prohibited without written permission from InHouse Physicians.  For additional information concerning InHouse Physicians’ intellectual property rights, see Intellectual Property under the Legal Notices section of this site, the terms of which are incorporated herein by reference.    

Your Responsibility for Accuracy. You agree to supply only true, accurate, and current and complete (collectively “Accurate”) information whenever information is required or requested at or in connection with the Site. You further agree to review and correct all information that is supplied about you or any Participant at or through the Site to ensure that it is Accurate prior to submission.

Product Information. Information about products available from the InHouse Physicians Services may be posted on the Site for your convenience. We will make reasonable efforts to keep the information current; however, at any given point in time, the information may not be or remain wholly accurate. No warranties are made with respect to the information and you agree that you will not rely on or treat the information as an express warranty. You agree that express warranties, if any, will be made only in the labeling accompanying the product and not on the Site.

 

3.  Privacy.  InHouse Physicians respects your privacy and takes privacy very seriously.  By accepting this Terms of Use, you consent to the use and disclosure of personally identifiable information provided to us as outlined in our Privacy Policy, which is incorporated herein by reference.   

Personal Health Information (PHI). Your PHI is stored online, including health conditions, allergies and medications. Any information provided becomes part of your InHouse Physicians Record.  You agree to provide accurate information for your InHouse Physicians Record.  For additional information regarding use of your InHouse Physicians Record, please see our Privacy Policy.  In certain circumstances, InHouse Physicians may provide certain information to your health plan or insurance company regarding your use of InHouse Physicians services if such entity represents it has obtained any required consents. You authorize InHouse Physicians to rely upon such representations.

4.  General Legal Provisions.

Operation and Record Retention.  InHouse Physicians reserves complete and sole discretion with respect to the operation of the InHouse Physicians Services. InHouse Physicians may, among other things withdraw, suspend or discontinue any functionality or feature of the InHouse Physicians Services.  InHouse Physicians is not responsible for transmission errors or corruption or compromise of data carried over local or interchange telecommunication carriers. 

Limitations on Use.  You agree not to access or use the InHouse Physicians Services in an unlawful way or for any unlawful purpose. InHouse Physicians reserves the right to delete any information provided by you that it deems in its sole discretion fraudulent, abusive, defamatory, and obscene or in violation of a copyright, trademark or other intellectual property or ownership right of any other person.

Term and Termination.  This Terms of Use shall commence upon the date you first access or use the InHouse Physicians Services and/or complete the registration process. Either you or InHouse Physicians may terminate this Terms of Use and your right to use the InHouse Physicians Services at any time, with or without cause. This Terms of Use and the licenses granted hereunder shall terminate without notice in the event you (or any authorized person using your account) fail to comply with the terms and conditions of this Terms of Use.

Notice.  InHouse Physicians may provide notice by e-mail to the e-mail address you provided InHouse Physicians in registration or by written communication delivered by first class U. S. mail or express courier to your address on record in the InHouse Physicians Services account information. You may give notice to InHouse Physicians at any time via electronic mail to support@InHousePhysicians.com or by letter delivered by first class postage prepaid U. S. mail or overnight courier to InHouse Physicians, 333 N. Randall Rd. Suite 154, St. Charles, IL 60174 - Attn: AV Distribution Support

Severability.  The provisions of this Terms of Use are severable, and in the event any provision hereof is determined to be invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions, but such provision shall be reformed, if reasonably possible, only to the extent necessary to make it enforceable.

Entire Agreement.  This Terms of Use, together with any InHouse Physicians rules or policies referred to herein, represents the complete agreement between you and InHouse Physicians concerning the subject matter hereof, and it replaces all prior oral or written communications concerning such subject matter. InHouse Physicians may modify this Terms of Use as set forth above.

Assignment.  You may not assign, transfer or delegate this Terms of Use or any part of it without InHouse Physicians' prior written consent. InHouse Physicians may freely transfer, assign or delegate all or any part of this Terms of Use, and any rights and duties hereunder. This Terms of Use will be binding upon and inure to the benefit of the heirs, successors and permitted assignees of the parties.

Waiver.  Failure to exercise or delay in exercising any right hereunder, or failure to insist upon or enforce strict performance of any provision of this Terms of Use, shall not be considered waiver thereof, which can only be made by signed writing. No single waiver shall be considered a continuing or permanent waiver.

Governing Law.  This Terms of Use shall be governed by and construed in accordance with the laws of the State of Illinois without giving effect to any choice of law rules or principles.
